Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between DOYOU CORPORATE SERVICES L.L.C., a limited liability company licensed by the Department of Economy and Tourism, Dubai, under trade license No. 1084843, with its registered office at Office D-07, Malak Al Saqar Real Estate Management L.L.C., Al Markaz Al Tejari Al Thani, Dubai, United Arab Emirates ("doYou," "the Company," "we," "us," or "our"), and the person or entity accessing doyou.ae or engaging any of our services ("you," "your," or "Client").

By accessing doyou.ae, creating an account, or engaging any doYou service, you accept these Terms in full. If you do not agree to these Terms, do not access the website or engage our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

1. Definitions

1.1"Services" means company formation, trade license issuance, immigration and visa support, bank account facilitation, and ongoing compliance services provided by doYou, as further described in Section 2.

1.2"doYou Launch" means our one-time engagement covering entity setup, first-year license issuance, and initial visa processing.

1.3"doYou Compliance" means our ongoing monthly plan covering bookkeeping, tax and VAT filing, and regulatory guidance following incorporation.

1.4"Government Costs" means fees, charges, and disbursements payable to UAE federal, emirate-level, or free zone authorities, or to any other third party (including partner banks), in connection with the Services.

1.5"Engagement" means a specific instruction from you to doYou to provide Services, whether under doYou Launch, doYou Compliance, or otherwise.

2. The Services

2.1 doYou provides company formation, trade license issuance, immigration and visa support, bank account facilitation, and ongoing compliance services across the mainland and free zone licensing authorities described on doyou.ae, delivered under two service lines:

  • (a) doYou Launch, a one-time engagement covering formation filings and documentation, trade license issuance, immigration support for one visa, bank account opening support, mandatory corporate tax registration, and first-year license renewal; and
  • (b) doYou Compliance, an ongoing monthly engagement covering bookkeeping, tax and VAT filing, and ongoing regulatory guidance.

2.2 The scope of Services for any Engagement is as confirmed to you in writing (including by email or through our platform) prior to commencement. Services not expressly included in an Engagement are outside its scope and may be quoted separately.

3. Eligibility and Client Representations

3.1 By engaging our Services, you represent and warrant that:

  • (a) you are at least 18 years of age and have full legal capacity to enter into these Terms;
  • (b) all information and documentation you provide to doYou, whether directly or through our platform, is true, accurate, current, and complete;
  • (c) you are not, and are not owned or controlled by, a person or entity that is the subject of UAE, United Nations, or other applicable international sanctions; and
  • (d) you will promptly notify doYou of any change in circumstances that affects the accuracy or completeness of information previously provided.

3.2 doYou is entitled to rely on the accuracy of all information and documentation you provide without independent verification, except where verification forms part of our due diligence obligations under Section 4.

4. Customer Due Diligence, KYC, and AML Compliance

4.1doYou is a Corporate Services Provider licensed in the United Arab Emirates and is accordingly designated a Designated Non-Financial Business and Profession ("DNFBP") under UAE anti-money laundering law, including Federal Decree-Law No. 20 of 2018 and Cabinet Decision No. 10 of 2019, as amended.

4.2 As a DNFBP, doYou is required to conduct customer due diligence on each Client, which may include verifying your identity, source of funds, beneficial ownership, and the nature and purpose of your intended business. This obligation exists independently of, and in addition to, any due diligence a government authority or bank may separately conduct.

4.3 doYou may decline to onboard a prospective Client, suspend an Engagement, or terminate an Engagement where: (a) due diligence cannot be satisfactorily completed; (b) information or documentation provided is found to be false, misleading, or incomplete; or (c) doing so is required under applicable anti-money laundering or counter-terrorist financing law.

4.4 Where required by law, doYou may report information concerning you or your Engagement to the UAE Financial Intelligence Unit or other competent authority, without prior notice to you, and shall not be liable to you for having done so.

5. Fees and Payment

5.1 All fees for the Services are payable in full, in advance, in the currency of your choice. doYou does not accept payment in cryptocurrency.

5.2 doYou is registered for Value Added Tax in the United Arab Emirates. VAT is charged in accordance with applicable UAE law. Our Tax Registration Number appears on invoices issued to you and is not published on doyou.ae.

5.3 Government Costs quoted to you are separate from, and in addition to, the doYou service fee, unless expressly stated otherwise in writing.

6. Cancellations and Refunds

6.1 If you cancel an Engagement before doYou has commenced filing or submitting any application on your behalf, doYou will refund: (a) 100% of any Government Costs already collected from you and not yet remitted to the relevant authority or third party; and (b) 75% of the doYou service fee paid for that Engagement.

6.2 Once doYou has commenced filing or submitting an application on your behalf, the doYou service fee for that Engagement becomes non-refundable.

6.3 Government Costs already remitted to a government authority, free zone authority, or bank are refundable to you only to the extent, and in the amount, that the relevant authority or third party itself refunds such amounts to doYou. doYou does not guarantee any such refund and will pass on only what it actually recovers.

7. Third-Party Dependencies; No Guarantee of Outcome

7.1 The formation of your company, issuance of your trade license, issuance of visas, and opening of a bank account depend on the decisions and processing times of UAE government authorities, free zone authorities, and partner banks, none of which are controlled by doYou.

7.2 doYou does not guarantee approval by any government authority or bank, a specific processing timeline, or any particular outcome. doYou undertakes to prepare and submit complete, accurate applications, and to pre-vet Clients through its own know-your-customer process before approaching a partner bank, in order to minimize the risk of delay or rejection attributable to doYou.

7.3Incorporation is typically completed within five working days of doYou's receipt of complete documentation from you, though this timeline may vary depending on your business activity and is not guaranteed.

8. Client Obligations

8.1 You are responsible for providing complete, accurate documentation to doYou in a timely manner. doYou is not responsible for delays or adverse outcomes caused by incomplete, inaccurate, or late information or documentation provided by you.

8.2 You are responsible for maintaining the confidentiality of any account credentials issued to you and for all activity that occurs under your account.

9. Nature of Our Advice

9.1 doYou is licensed in the United Arab Emirates for corporate services and business administration. doYou is not licensed as, and does not hold itself out as, a legal consultancy under UAE law.

9.2Structuring guidance provided as part of a consultation reflects doYou's expertise in UAE company formation and regulatory practice. It is not a substitute for independent legal, tax, or financial advice from a licensed advisor, and you should seek such advice for matters requiring it, including cross-border tax structuring, litigation, or disputes.

10. Confidentiality and Data Protection

10.1 doYou will treat information you provide as confidential and will use it only for the purposes of providing the Services, except where disclosure is required by law or as described in our Privacy Policy.

10.2 doYou collects, uses, and discloses personal data in accordance with our Privacy Policy, and the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021), as amended.

11. Intellectual Property

11.1 All content, software, tools, trademarks, and materials made available on doyou.ae are owned by doYou or its licensors and are protected by applicable intellectual property law.

11.2You may use such content and tools solely for your own business purposes in connection with the Services. You may not copy, reproduce, resell, sublicense, or otherwise redistribute any part of doyou.ae or its content without doYou's prior written consent.

12. Limitation of Liability

12.1To the maximum extent permitted by UAE law, doYou's total aggregate liability to you arising out of or in connection with these Terms or any Engagement, whether in contract, tort, or otherwise, shall not exceed the lesser of: (a) the total fees paid by you to doYou for the Engagement giving rise to the claim; or (b) USD 3,000.

12.2 doYou shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or business opportunity, even if advised of the possibility of such damages.

12.3doYou shall not be liable for any delay, failure, or loss arising from the acts or omissions of any government authority, free zone authority, or bank, or from any other cause outside doYou's reasonable control.

12.4 Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under UAE law, including liability for fraud or willful misconduct.

13. Indemnification

You agree to indemnify and hold doYou harmless from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) inaccurate or incomplete information or documentation provided by you; or (c) your misuse of the Services or doyou.ae.

14. Term and Termination

14.1 These Terms remain in effect for as long as you maintain an account with doYou or have an active Engagement.

14.2 doYou may suspend or terminate an Engagement, with or without notice, where you breach these Terms, fail to satisfy customer due diligence requirements under Section 4, or fail to pay fees when due.

14.3 You may terminate an Engagement at any time by written notice to doYou. Refunds on termination are governed by Section 6.

14.4 Sections 4, 6, 9, 10, 11, 12, 13, and 18 survive termination of these Terms or any Engagement.

15. Force Majeure

doYou shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of government, war, civil unrest, natural disaster, or failure of third-party systems or infrastructure.

16. Amendments

doYou may amend these Terms from time to time. Material changes will be posted on doyou.ae with an updated "Last updated" date. Your continued use of doyou.ae or the Services after such changes take effect constitutes your acceptance of the amended Terms.

17. Notices

Notices to doYou under these Terms should be sent to hello@doyou.ae. Notices to you will be sent to the email address associated with your account.

18. Governing Law and Dispute Resolution

18.1 These Terms are governed by, and shall be construed in accordance with, the laws of the United Arab Emirates as applied in the Emirate of Dubai.

18.2 Any dispute arising out of or in connection with these Terms or any Engagement shall be subject to the exclusive jurisdiction of the Dubai Courts.

19. General Provisions

19.1 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

19.2 No Waiver.doYou's failure to enforce any provision of these Terms is not a waiver of its right to do so later.

19.3 Entire Agreement. These Terms, together with our Privacy Policy and any Engagement-specific terms confirmed in writing, constitute the entire agreement between you and doYou regarding the Services, superseding any prior agreements or understandings.

19.4 Assignment.You may not assign or transfer your rights or obligations under these Terms without doYou's prior written consent. doYou may assign these Terms in connection with a merger, acquisition, or sale of assets.
